Check if a penalty clause is included in the contract. This means that if you break any of the binding clauses in the contract, such as the confidentiality, the company will be authorized to impose a fine without intervention of the courts. The amount of the fine can be enormous.
Therefore, try to remove this clause from the agreement.
If removal is not possible, try to moderate the fine. For example, a fine of € 10.000 or € 20.000 euros is out of proportion. In this case, point out that such an amount is contrary to article 6:94 of the Dutch Civil Code.
